About your role
Reporting to the Chief Commercial Officer of and working in close collaboration with the General Counsels of and I-MED, as Senior Commercial Legal Counsel you will be an integral member of the team and hold responsibility for delivering innovative and impactful legal strategies across the organisation. You will also act as the Company Secretary of the Company.
Your role will see you collaborate and build strong relationships across a wide range of internal and external stakeholders. This includes working closely with our Chief Commercial Officer and Chief Executive Officer.

What you'll do:

  • Drafting and negotiation of contractual arrangements including sales, distribution, marketing, and service agreements;
  • Assisting with data protection and privacy matters, including GDPR compliance;
  • Role of Company Secretary, overall corporate governance and policy responsibilities; and
  • Supporting’s commercial team as they sell, market, distribute and support products and services globally (with the support of cross jurisdictional legal support).
  • What will help you succeed:

  • Legally qualified with extensive PQE experience of minimum 8 years, primarily with commercial contracts;
  • Demonstrated ability to draft complex commercial agreements, including sales, marketing, multi-channel distribution, service, and license agreements;
  • Familiarity with competition law matters related to sales, distribution, and marketing; 
  • Previous work experience as a Company Secretary or an assistant Company Secretary;
  • Solid experience in contract negotiation;
  • Good judgment and problem-solving skills and is comfortable advising and working with senior and executive management; and
  • Outstanding interpersonal, presentation, analytical, communication and negotiation skills, with ability to develop constructive working relationships with all stakeholders.
  • Nice to have (but not essential):

  • Significant law firm and in-house experience, with a focus on commercial contracts and experience in the health industry software industry;
  • Experience in negotiating data and IP rights would be considered an advantage; and
  • Background in negotiating sales agreements.
