To help drive this growth we are looking for Senior Manager, Company Secretarial, initially reporting to the CFO you will work closely with the Board and the Executive Management Team to ensure the efficient and effective operation of the Board and Board Committees, as well manage the company secretarial requirements of the Group. The successful candidate will be able to successfully interact at a senior level across the organization, possess strong organisational skills and be able to demonstrate a thorough understanding of the operations of the Board of a Listed Company and the associated reporting, governance, and compliance requirements. The position will collaborate across multiple functions including legal, finance, strategy, new markets and media relations to successfully deliver on the company secretarial requirements of a rapidly growing, global payments company.
Assist and support the Chair in the efficient and effective operation of the BoardProvide administrative, operational, logistical management and secretarial assistance and support for the Board and Board Committees, including:Acting as the key liaison point between Executive Management and the BoardAgreeing the meeting Agenda with the Chair of the Board and Board Committees Managing board travel, accommodation and expenses including Board cost-centreCo-ordinating the completion and dispatch of board and committee papersAttendance at, and taking minutes of, the Board and Committee meetingsEnsuring action items from the meetings are communicated, followed up, and completedOrganising and managing all shareholder meetings including the AGM.Monitor, administer and provide guidance on Zip’s governance policies, procedures and frameworks including operation of delegated authoritiesMonitor and maintain the Board and Board Committee calendars and charters including coordinating and documenting ongoing board education and compliance training programCompany secretary duties for all Australian subsidiariesEnsure the lodgement of ASIC forms and returns (and equivalents globally) within prescribed timeframes, ensuring no late fees or fines are incurredSupport the issuance of equity under Zip’s Short and Long Term Incentive programs, ensuring compliance with ASX rules and regulations.Manage the issuance / subscription of shares to Zip’s Employee Share TrustSupport the preparation and lodgement of the Annual Report.Coordinate with all other jurisdictions to provide Board visibility of compliance outside Australia and in particular ensure the Group meets its SGX reporting obligations Support the on-boarding of any new Directors, including the provision of any Director trainingEnsure all secretarial matters are appropriately dealt with when setting up new entities globally, when loans are capitalised, dividends paid and manage the appointment / resignation of subsidiary company directors.

Lawyer - Degree qualified – must hold an active practicing certificate or senior governance qualification e.g. be a fellow of the GIAExperience within a Company Secretarial Team in an ASX listed organisation, dealing directly with the Chair of the Board and ensuring the efficient and effective operation of the Company Secretarial functionExcellent interpersonal skills; enthusiastic, team player and self-starter; commitment to excellence and attention to detail; strong organizational skillsUncompromising ability to maintain confidentiality, exercise sound judgment and the highest level of discretionAbility to succeed in a fast-paced, variable and deadline-driven environmentExperience with Diligent Board Books is essentialExcellent verbal and written communication skillsAbility to plan and prioritise tasks, work under pressure in order to meet the requirements of the function Strong knowledge of standard Microsoft office programsDemonstrated ability to use initiative, being proactive and self-motivated, as well as the ability to operate under direction
